An IOI is a soft commitment — a non-binding indication that you'd like to participate at a certain amount if and when the deal opens. You're not legally obligated to follow through.
If you do decide to commit when the deal opens, you'll go through a separate firm-commitment flow. This involves:
At that point, the commitment becomes legally binding and is added to your transaction history as a HARD commitment.
Even though they're non-binding, IOIs are an important signal to the deal sponsor and to EVIDENT. They help us plan the offering, allocate appropriately, and reach out to interested investors when commitments open — so it's still worth submitting an honest indication if you're seriously considering an asset.
